Article 1 - Purpose and Scope

These Terms of Service (hereinafter "Terms") govern the use of the ProfPlanner application, a planning and organization service for teachers and education professionals.

The ProfPlanner application is published by PROFPLANNER SAS, a simplified joint-stock company with a share capital of €1,000, registered under SIRET number 990 031 320 00015, with its headquarters located at 118 rue de Tolbiac, 75013 Paris, France.

Use of the application implies full and complete acceptance of these Terms.


Article 2 - Definitions

  • "Application" or "Service": The ProfPlanner SaaS application accessible online
  • "User": Any natural person using the application
  • "Account": The User's personal space on the application
  • "User Content": Data, information, and content created by the User
  • "Publisher": PROFPLANNER SAS

Article 3 - Description of the Service

3.1 Main Features

  • Management of schedules and educational calendars
  • Organization of tasks and educational projects
  • Synchronization with external systems (Pronote, EcoleDirecte, etc.)
  • Management of student groups and classes
  • Import/export of calendar data

3.2 Service Versions

  • Free Version: Limited access to basic features
  • Full Version: Access to all features upon subscription
  • Trial Period: Temporary access to the full version for new users

3.3 Service Evolution

The Publisher reserves the right to modify, suspend, or discontinue all or part of the Service, with or without notice. The Publisher will, however, endeavor to inform users of substantial modifications.


Article 4 - Account Creation and Management

4.1 Registration Requirements

Use of the Application requires the creation of an Account. The User must:

  • Be a natural person of legal age or a minor with authorization from a legal representative
  • Provide accurate, complete, and up-to-date information
  • Not create multiple accounts without authorization

4.2 Login Credentials

The User is responsible for the confidentiality of their login credentials. Any use of the Account is presumed to be made by the User.

In the event of loss, theft, or unauthorized use of their credentials, the User must immediately inform the Publisher.

4.3 Account Deletion

The User may delete their Account at any time from the Application settings. Deletion results in the permanent deletion of all associated data, except where legal retention obligations apply.


Article 5 - User Obligations

5.1 Legal Compliance

The User undertakes to:

  • Comply with applicable laws and regulations
  • Not use the Application for illegal or fraudulent purposes
  • Obtain necessary consents for third-party data (students, etc.)

5.2 Behavior on the Application

The User is prohibited from:

  • Disrupting the operation of the Application
  • Accessing other accounts without authorization
  • Introducing viruses, malware, or any other malicious code
  • Collecting data from other users without authorization
  • Using the Application in a manner that could damage or interrupt it

5.3 User Content

The User is solely responsible for the User Content they create, store, or share via the Application. The User guarantees:

  • Having the right to create and share this content
  • That the content does not violate the rights of third parties
  • That the content is not defamatory, abusive, or illegal

Article 6 - Intellectual Property

6.1 Publisher's Rights

The Application, its structure, source code, graphic design, and any other elements composing it are the exclusive property of PROFPLANNER SAS and are protected by intellectual property laws.

The User acknowledges having only a limited, personal, and revocable right to use the Application.

6.2 License on User Content

By creating User Content on the Application, the User grants PROFPLANNER SAS a non-exclusive, worldwide, royalty-free, and transferable license to use, reproduce, modify, and distribute this content to the extent necessary for the operation and improvement of the Service.

This license terminates upon deletion of the User Content or Account.

6.3 Trademarks

The trademarks, logos, and distinctive signs of the Publisher or third parties appearing on the Application are protected. Any reproduction or use without prior authorization is prohibited.


Article 7 - Pricing and Payment

7.1 Free Version

Access to the free version of the Application is free of charge, within the limits of the offered features.

7.2 Paid Version

Access to the full version is subject to a paid subscription. Current pricing is available on the Application.

The Publisher reserves the right to modify pricing with 30 days' notice.

7.3 Payment Methods

Payments are made by credit card or any other method offered by the Publisher. The User undertakes to provide valid payment information.

7.4 Cancellation

The User may cancel their subscription at any time from their Account. No refund will be issued for the current period.


Article 8 - Personal Data

The processing of Users' personal data is governed by the Privacy Policy, which is an integral part of these Terms.


Article 9 - Liability

9.1 Publisher's Commitment

The Publisher undertakes to implement the necessary means to ensure the availability and security of the Application. However, the Publisher cannot guarantee uninterrupted availability.

9.2 Limitations

Except in cases of gross negligence or willful misconduct, the Publisher's liability cannot be engaged for:

  • Service interruptions related to maintenance or technical problems
  • Data loss, except in case of failure to meet our backup obligations
  • Indirect damages resulting from the use or inability to use the Application
  • Illegal content or activities of Users

9.3 Force Majeure

The Publisher cannot be held liable for failure to perform its obligations due to a case of force majeure.


Article 10 - Duration and Termination

10.1 Duration

These Terms are concluded for an indefinite period from the date of acceptance by the User.

10.2 Termination by User

The User may terminate their use of the Application at any time by deleting their Account.

10.3 Termination by Publisher

The Publisher reserves the right to suspend or delete a User's Account in the event of:

  • Violation of these Terms
  • Fraudulent or abusive behavior
  • Prolonged inactivity (more than 12 months) for free accounts

Article 11 - Modification of Terms

The Publisher reserves the right to modify these Terms at any time. Modifications take effect immediately upon publication on the Application.

Users will be informed of substantial modifications by email or notification in the Application. Continued use of the Application after modification constitutes acceptance of the new Terms.


Article 12 - Governing Law and Jurisdiction

These Terms are governed by French law.

In the event of a dispute, the parties will endeavor to find an amicable solution. Failing this, the courts of Paris, France shall have exclusive jurisdiction.

In accordance with the provisions of the French Consumer Code, consumer Users may refer the matter free of charge to the consumer mediator with whom PROFPLANNER SAS is affiliated.

Article 14 - Miscellaneous Provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in effect.

The Publisher's failure to exercise a right shall not constitute a waiver of that right.

These Terms constitute the entire agreement between the parties regarding the use of the Application.
